TERMINAL68 OFFICE RENTAL AGREEMENT

These Terms and Conditions (“Terms”) describe the rights and obligations associated with the use of Terminal68’s office space, conference rooms, and other services (“Services”). By using these Services, you agree to abide by and be bound by these Terms.

1. Overview and Definition of Services: Terminal68, LLC (“we,” “our,” or “us”) is the entity providing these Services and, for the purposes of this agreement, refers to Terminal68 and its affiliates as specified in your invoice, based on your primary location or the entity rendering Services. These Services may include your access to office spaces, conference rooms, online networks, member-only events, and additional member offerings at Terminal68 locations. The exact Services depend on the membership type selected and may vary based on location. Terminal68 reserves the right to change the legal entity charging you for Services and to modify the availability or scope of Services as needed.

2. Rental Options and Amenities Included: Terminal68 offers flexible rental terms, including month-to-month, six-month, and annual leases, based on your selected options. Each leased space includes high-speed Wi-Fi access throughout the premises and fully equipped common areas with desks, chairs, and filing cabinets. Business-class printing stations, with at least one multi-function copier/scanner/printer on each floor, are available for tenant use. Complimentary coffee, tea, and filtered water are provided. Onsite staff is available Monday through Friday, 9 am to 5 pm, to address tenant needs and inquiries. Additionally, parking is reserved to accommodate up to 50 vehicles.

3. Membership Types and Workspace Reservations: Tenants may select from various workspace arrangements:

Hot Desks: Access to an assigned primary Terminal68 location, with desk access both during and outside Regular Business Hours (9 am–6 pm).

Daily Desks: Access to desks at alternative Terminal68 locations by reservation only, limited to the Regular Business Hours of each premises.

Each workspace and desk reservation is subject to availability. Regular Business Hours and Regular Business Days vary by premises, with an allowance for early closing times on days preceding holidays. Terminal68 may adjust these hours as needed.

4. Lease Term and Termination: Leases commence on the agreed date of execution or as otherwise specified in writing. Month-to-month leases may be terminated by either party with a 30-day notice, whereas fixed-term leases require six months’ prior written notice for early termination. If a tenant defaults on payments or fails to comply with these Terms, Terminal68 reserves the right to terminate the lease immediately.

5. Rental Payments: Monthly rent is due on the first day of each month, with a late fee applied if payment is delayed beyond the 10th day. An annual rent increase of 3% applies to extended lease terms. A security deposit equivalent to one month’s rent is required at lease signing, refundable upon lease termination after deductions for outstanding dues or damages.

6. Permitted Use and Compliance: The premises may be used exclusively for business purposes. Retail, medical, or any public-facing services require prior written approval from Terminal68. Tenants are responsible for compliance with local zoning laws and regulations, including obtaining any required permits for business activities. Modifications necessary to meet regulatory compliance must be made at the tenant’s expense and must be approved in writing by Terminal68.

7. Maintenance and Repairs: Tenants are responsible for maintaining the interior of the leased premises, which includes furniture, walls, and equipment. The premises must be returned to its original condition at the end of the lease term, except for normal wear and tear. Terminal68 will handle major structural repairs, including the foundation, roof, and exterior walls. Common area maintenance, utilities, and janitorial services are provided as part of the rent. Any alterations or improvements initiated by the tenant require prior written approval from Terminal68 and are to be conducted at the tenant’s expense. Unauthorized alterations may be removed at the tenant’s expense.

8. Access Devices and Security: Access to the premises is controlled via keycards and passwords. Tenants are responsible for the safekeeping of their access credentials, which should not be shared or duplicated. Replacement fees may apply for lost or damaged access devices. Terminal68 may implement video monitoring in common areas for security purposes, and tenants and guests may be required to present a valid ID upon entry.

9. Liability and Indemnification: Tenants are liable for any damages caused by themselves, their employees, or their guests. Terminal68 is not responsible for loss or damage to personal property or interruptions in business operations. Tenants agree to indemnify and hold Terminal68 harmless from any claims, damages, or injuries resulting from tenant actions, negligence, or breach of these Terms.

10. Insurance: Tenants are required to maintain adequate insurance covering liability, property, and personal injury for themselves and their guests. Terminal68 maintains general liability and property insurance for the building.

11. Linking to a Company Profile: During registration, you may link your profile to an employer or entity (“Company”). If your employment status changes, you are required to update your profile to reflect these changes. Impersonating any entity or falsely representing an association with a Company is strictly prohibited. Company-associated accounts may be subject to change or termination upon your departure from the Company.

12. Mail and Package Services: Subject to availability, tenants may receive mail and packages at designated Terminal68 locations. Bulk or oversized items are not accepted, and Terminal68 has no obligation to store mail or packages beyond 30 days. Mail services are intended for business-related correspondence only, not for personal shipments.

13. Technology and Internet Use: Terminal68 may install software on tenant devices as needed to provide Services, subject to tenant consent. Terminal68 is not responsible for any damage to tenant equipment resulting from software installation. Tenants should not expect privacy when using Terminal68’s network, as activity may be monitored for security and compliance. Use of the Terminal68 mobile app is permitted solely on compatible devices owned by tenants and is for private, non-commercial use. Tenants agree not to reverse-engineer or distribute any Terminal68 software or app technology.

14. Pets: Pets are permitted only with express written approval from Terminal68, and proof of vaccination may be required. Tenants are responsible for any damages or injuries caused by their pets and must ensure pets are accompanied at all times.

15. Personal Property: Terminal68 is not liable for any personal property left behind after lease termination. Any items remaining on the premises may be disposed of by Terminal68, and tenants waive any claims regarding the handling of such property.

16. Third-Party Services and Products: Terminal68 may facilitate access to third-party services (such as health insurance or payroll), but it is not responsible for the terms, conditions, or provision of these services. Tenants should directly engage with third-party providers.

17. Advertisements, Endorsements, and Testimonials: Tenants may encounter advertisements from Terminal68’s partners while on the premises. Terminal68 is not liable for the content or terms of these advertisements. Testimonials or endorsements represent individual tenant experiences and are not verified by Terminal68; tenants are advised to interpret these testimonials with caution. Additionally, tenants are prohibited from using Terminal68’s name, branding, trademarks, or images of the premises without prior written consent.

18. Limitations of Liability: To the extent permitted by law, tenants waive any claims against Terminal68 for injuries or property damage, including theft or loss. This waiver extends to claims against Terminal68’s employees, agents, or affiliates. Additionally, all disputes will be resolved on an individual basis, with tenants waiving any right to class action lawsuits or class-wide arbitration related to these Terms.

19. Governing Law and Dispute Resolution: These Terms are governed by the laws of the State of Virginia. Any dispute arising from this agreement will be resolved by binding arbitration in Loudoun County, Virginia, and the arbitration proceedings will remain confidential. Tenants agree that all disputes must be resolved individually, waiving any right to class action or consolidation of claims.

20. Miscellaneous Provisions: Tenants warrant that they are not, nor will they be during membership, an entity or individual on the Specially Designated Nationals and Blocked Persons List or any other prohibited list published by the U.S. government. Terminal68 reserves the right to amend these Terms with 30 days’ notice. Rent and fee changes will take effect at the start of the next billing cycle. These Terms constitute the entire agreement between Terminal68 and the tenant, superseding any prior agreements. If any provision is found to be unenforceable, the remaining provisions remain in effect.
